By registering for coaching with Tori Boats, Paradox Solutions LLC (the “Organizer”), I (the “Client”) hereby agree to these terms and conditions. I have been advised not to register for or attend coaching if I have objections to the following Terms and Conditions (the “Agreement”).


1. Registration Fees.


a. Payment. Payment of the applicable fees for coaching is due in full in accordance with the payment plan selected by Client. If a monthly subscription is applicable to the service, the full monthly fee will be charged to the Client method of payment for each month of service before services are rendered. If such payment is insufficient or declined for any reason, Organizer may refuse to coach Client and will have no liability in that regard.


b. Taxes. The fees may be subject to sales tax, value added tax, or any other taxes and duties which, if applicable, will be charged to the Client in addition to the fees.


2. Payment Collection and Costs


Client agrees to pay all fees as outlined. If Client fails to make any payment by the due date, Organizer reserves the right to discontinue services until payment is made in full. Client further agrees to pay any costs, including reasonable attorney’s fees and collection agency fees, incurred by Organizer in collecting overdue amounts.


3. Cancellations and Refunds.


a. Requests for refunds must be made in writing via e-mail to support@toriboats.com.


b. Refund requests received within one week (seven days) of the registration for a package or session that is not part of a monthly subscription service will receive a 100% refund.


c. Refund requests received within one week (seven days) of the initial registration for a monthly subscription AND at least 72 hours prior to the first meeting will receive a 100% refund.


d. No refunds will be given for cancellations requested on the eighth or subsequent days after registration for a package or session that is not part of a monthly subscription.


e. No refunds will be given for cancellations requested less than 30 days prior to the month of service for monthly subscription services.


f. Upon early termination of Client from any program, as determined by the Organizer, for any reason, the remainder of the fee will be forfeited.


g. Eligible refunds will be processed within 45 days of acknowledgment by the Organizer of receipt of the written notice.


4. Session Expiration

Client acknowledges and agrees that the Leveraged Momentum Map session must be scheduled and completed within six (6) months of the date of purchase. Any unused session after this period will expire and is non-refundable. No exceptions will be made for unused sessions beyond this period.


5. Confidentiality.


Client understands that certain information of a confidential nature may be disclosed by the Organizer, to include personal information, tools, processes, strategies, materials and other business trade secrets. Client will not intentionally disclose this confidential information to any third party or use the confidential information for their own benefit without specific written approval by the Organizer.

This provision will continue to be effective after the termination of this Contract.


6. Intellectual Property.


Organizer retains all intellectual property rights in and to all coaching methods, frameworks, processes, materials, documentation, intake questions, prompts, pre-work, exercises, follow-up resources, and proprietary content provided or shared before, during, or after the program or session, including but not limited to the Leveraged Momentum Map and any related tools, templates, or systems.

Client may not copy, reproduce, share, adapt, or use any intake questions, prompts, pre-work, exercises, materials, or follow-up resources provided by the Organizer, except as necessary to participate in the session and implement the resulting strategies in their own business. No license to use, reproduce, teach, facilitate, resell, distribute, or claim ownership of these methods or materials is granted or implied, except as explicitly stated in this agreement.

Client acknowledges and agrees that all such materials are for the Client’s personal use only, solely to implement the strategies and actions for their own business as developed during the session(s). Client shall not teach, facilitate, license, sell, distribute, or otherwise share any portion of the Organizer’s intellectual property, frameworks, intake questions, or methods with third parties, nor claim ownership or authorship of the Organizer’s methods, content, or materials at any time.

Organizer acknowledges that Client holds all intellectual property rights in the Client’s own work product and business ideas resulting from participation in the program, and Organizer will not claim ownership in Client’s work product or IP. This provision will remain in effect after termination of this agreement.


7. Right to Terminate


Organizer reserves the right to terminate services at any time, with or without cause, including but not limited to non-payment, breach of these terms, or conduct deemed disruptive or inappropriate by the Organizer. In such cases, any remaining fees may be forfeited at Organizer’s discretion.


8. Non-Transferability


All coaching services, sessions, and associated benefits are non-transferable and intended solely for the original Client unless otherwise agreed in writing by the Organizer.


9. Media and Testimonial Release


Unless requested otherwise in writing, Client grants Organizer the right to use feedback, testimonials, and anonymized examples from sessions for marketing or educational purposes.


10. Disclaimer and Limitation of Liability


Client understands and agrees that Organizer does not guarantee any specific outcomes, results, earnings, or business success from participation in coaching services, programs, or sessions. All actions and results are the sole responsibility of the Client. Organizer will not be liable for any losses, damages, or negative outcomes—financial or otherwise—that may arise from the use of, or reliance on, the coaching, strategies, or materials provided. Client acknowledges that any business decision is made at their own discretion and risk.


11. No Professional Advice


Coaching services do not constitute legal, financial, medical, or other professional advice. Client should consult qualified professionals for such advice as needed.


12. Jurisdiction and Disputes.


The laws of the State of Maryland shall govern the validity of this Agreement, the construction of its terms, and the interpretation of the rights and duties of the parties to this Agreement. Client agrees that any dispute that arises out of or relates to this Agreement will be resolved via binding arbitration in the State of Maryland in accordance with the policies set forth by the American Arbitration Association. If any of these Terms of use are found unlawful, void, or for any reason unenforceable, then that provision will be considered severable from the remaining terms of use, and will not affect the validity and enforceability of the remaining provisions.


13. FORCE MAJEURE.


Paradox Solutions LLC shall not be liable for any costs or damages due to delay or nonperformance of this Agreement due to a Force Majeure, including acts of God, acts of people, government-imposed restrictions and safety measures, quarantines, travel suspensions, and any other event beyond Paradox Solutions LLC's control, whether foreseen or unforeseen.
